1. Agreement
By accessing or using InstaReplAI, you agree to these Terms on behalf of yourself and, if applicable, the company or organization you represent. If you use the service for a business, you confirm that you have authority to bind that business.
The current contracting entity is TBD - planned Estonian private limited company. Registered address, registry code, VAT number and final legal contact details will be added after incorporation. Until then, public legal pages are preparation documents and may be updated before launch.
2. Service
InstaReplAI provides AI-assisted customer support, message routing, booking workflows, analytics, knowledge base tools, commerce context, integrations and related automation for businesses. Features may change, be limited by plan, depend on third-party providers or require channel approval.
We may improve, modify, pause, remove or replace features when needed for security, compliance, reliability, provider rules, product strategy or abuse prevention. We do not guarantee that every integration, model, channel, feature or beta will remain available.
3. Accounts and workspaces
You are responsible for your account credentials, workspace users, permissions, connected channels, knowledge sources, billing settings and all activity under your workspace. You must keep business information accurate and maintain all permissions needed to connect third-party accounts.
Where InstaReplAI is connected to Witdrim identity, rewards or account infrastructure, your use may also be subject to applicable Witdrim ecosystem terms. Access may be denied if identity verification, payment, security checks or platform permissions fail.
4. Customer data and responsibilities
You retain rights in your business content, connected account data, customer conversations, product data, policies, prompts and knowledge base materials. You grant us the rights needed to host, process, transmit, secure and display that data to provide the service.
You are responsible for giving notices, obtaining consents, honoring customer rights, maintaining lawful bases for processing and avoiding upload of data you are not allowed to process through InstaReplAI. For end-customer personal data, our Data Processing Agreement may apply.
5. AI outputs and automation
AI outputs can be inaccurate, incomplete, delayed or inappropriate for a particular customer. You are responsible for configuring knowledge, testing workflows, setting guardrails, reviewing risky scenarios and deciding whether replies are drafts, suggested replies or automatically sent messages.
You must not rely on InstaReplAI for emergency services, regulated professional advice, legal decisions, employment decisions, credit decisions, medical decisions or other high-impact determinations unless a separate written agreement and required controls are in place.
6. Third-party platforms
InstaReplAI can connect to services such as Meta, Instagram, Facebook, WhatsApp, Google, Gmail, Telegram, live chat, payment tools, commerce platforms and calendar systems. Your use of those services remains subject to their own terms, technical limits, review rules and privacy requirements.
We are not responsible for outages, API changes, account restrictions, provider suspensions, message delivery failures, rate limits, webhook delays, policy enforcement or data quality issues caused by third parties or customer configuration.
7. Billing, renewals and refunds
Paid plans, add-ons and usage features are governed by the checkout terms, invoice, order form or plan page shown at purchase. Subscriptions may renew automatically unless cancelled before renewal. You are responsible for taxes, payment method validity and usage generated by your workspace.
Refunds, cancellations, service credits, disputes and WDRIM reward adjustments are governed by the Refund and Cancellation Policy and Billing Terms.
8. Suspension and termination
We may suspend or limit access if we believe there is non-payment, fraud, security risk, unlawful use, spam, platform policy violation, excessive load, abuse, chargeback risk, IP infringement or conduct that may harm InstaReplAI, Witdrim, providers, customers or end users.
You may stop using the service at any time. Deletion, export and connected account removal options are described in the Data Deletion Policy and Data Retention Policy.
9. Disclaimers and liability limits
The service is provided "as is" and "as available" to the maximum extent allowed by law. We do not promise uninterrupted operation, perfect accuracy, full message delivery, commercial results, model availability, integration approval or that AI outputs will meet every business requirement.
To the maximum extent allowed by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost revenue, lost goodwill, lost data, business interruption or third-party platform issues. Our aggregate liability is limited to the greater of EUR 100 or the fees paid for the service in the three months before the event giving rise to the claim.
10. Governing law, disputes and changes
Governing law, court venue, arbitration language and any US class action waiver are TBD pending final legal setup. The expected baseline is Estonian/EU law for the planned Estonian operator, subject to mandatory consumer or local laws that cannot be waived.
We may update these Terms as the product, providers, company structure, laws or business model change. Material changes will be posted on this page or communicated through reasonable product or email notice. Continued use after the effective date means acceptance of the updated Terms.
